Affiliate Program Terms and Conditions

1. Introduction

These Terms and Conditions ("Agreement") govern your participation in the Trucking365 TMS Affiliate Program ("Program") offered by trucking365.io ("Company," "we," "us," or "our"). By enrolling in the Program, you ("Affiliate," "you," or "your") agree to comply with these terms.

2. Eligibility

To participate in the Program, you must:

Be at least 18 years old.

Possess the legal authority to enter into this Agreement.

Have an active account in the Trucking365 TMS.

Operate a website, blog, social media account, or other platform suitable for promoting Trucking365 TMS.

Do not engage in activities that violate any applicable laws or regulations.

3. Enrollment

To enroll, complete the affiliate application form available on our website. We reserve the right to approve or reject any application at our sole discretion.

Registration in this Program does not grant the Affiliate any ownership rights to the Trucking365 TMS / trucking365.io property (code base, database, content, paid subscriptions, etc.).

4. Affiliate Responsibilities

As an Affiliate, you agree to:

Promote Trucking365 TMS lawfully and ethically.

Use only promotional materials provided or approved by us.

Avoid making false or misleading claims about our services.

Do not purchase or register domain names that are identical or similar to any of Trucking365 TMS or otherwise include the word 'Trucking365 TMS', 'Trucking365 TMS Affiliates', or variations that are identical or confusingly similar to 'Trucking365 TMS'.

The Affiliate is not permitted to use the Trucking365 TMS Content in any way that is detrimental to Trucking365 TMS or the reputation or goodwill of Trucking365 TMS.

The Affiliate is not permitted to alter or modify in any way the Trucking365 TMS Content without the express prior written consent of Trucking365 TMS.

The Affiliate agrees that the Affiliate's source shall not resemble in any way the appearance and/or the general impression of the Trucking365 TMS site, nor will the Affiliate create the impression that the Affiliate's source is the Trucking365 TMS Site (or any part thereof).

Refrain from bidding on our branded keywords in pay-per-click campaigns.

Do not engage in spam or unsolicited communications.

Comply with all applicable laws and regulations, including data protection and privacy laws.

5. Commission Structure

Commission Rate: You will earn a commission of 10% - 30% (depending on your marketing source) on the net revenue generated from referrals who purchase a Trucking365 TMS subscription through your unique affiliate link.

Payment Threshold: Commissions are paid monthly, provided your account has accrued at least $100 in earnings.

Payment Method: Payments will be made to your PayPal or Payoneer account.

Refunds and Chargebacks: Commissions are not paid on refunded or chargeback transactions.

6. Tracking and Attribution

We use cookies to track referrals. The standard cookie duration is 30 days. If a potential customer clears their cookies or uses a different device or browser, we cannot guarantee tracking, and commissions may not be attributed.

7. Intellectual Property

Nothing in the Agreement shall constitute any license, assignment, transfer or any other right to any Intellectual Property Rights, including, without limitation, patents, trademarks, service marks, registered designs, copyrights, database rights, rights in designs, inventions and Confidential Information, etc. which arise in result of entering into or the performance of the Agreement.

All intellectual property rights created and/or deriving out of the Agreement, including, without limitation, banners, advertising material, contents, the database, including contents and personal data, shall be or become the sole property of Trucking365 TMS, and Affiliate shall have absolutely no rights therein.

All promotional materials, trademarks, and content provided by us remain our intellectual property. You are granted a non-exclusive, non-transferable license to use these materials solely for promoting Trucking365 TMS under this Program.

8. Confidentiality

You agree to keep confidential all non-public information disclosed to you in connection with the Program and not to use such information for any purpose other than to fulfill your obligations under this Agreement.

9. Term and Termination

Term: This Agreement begins upon our acceptance of your application and continues until terminated by either party.

Termination: Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.

Effect of Termination: Upon termination, you must cease all use of our promotional materials and remove all affiliate links from your platforms. Any unpaid commissions earned before termination will be paid according to our regular payment schedule.

10. Limitation of Liability

We are not liable for indirect, incidental, or consequential damages arising in connection with this Agreement or the Program.

Trucking365 TMS / trucking365.io disclaims any and all liability for the acts, conduct, or omissions of any third parties or any other parties related to the Program's use. The Affiliate assumes the entirety of responsibility for the use of the Program. The Affiliate's sole remedy against Trucking365 TMS / trucking365.io in the event of dissatisfaction with the Program shall be not participating in the Program.

11. Indemnification

You agree to indemnify and hold harmless Trucking365 TMS (trucking365.io) and its affiliates from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from your participation in the Program, your breach of this Agreement, or your violation of any law or the rights of a third party.

12. Modifications

We may modify any of the terms and conditions within this Agreement at any time at our sole discretion. Continued participation in the Program after any modification shall constitute your consent to such changes.
